BY-LAW II

Meetings of the Association

Regular

Section 1)   Meetings of this Association shall be held annually for the purpose of transacting all business as shall come before it.  The Annual Meeting date and place shall be determined by the Board of Trustees and will be announced at the Annual Business Meeting each year.

Section 2)   Any non-member college store attending shall be required to pay a participation fee.  The amount shall be determined by vote of the Board of Trustees.

Section 3)   Business sessions of the Association may be attended by all defined members of the Association and others as invited by the President.

Special Meetings

Section 4)   Special meetings of the Association may be called at any time by the President in accordance with the provisions of By-Law I, Section 1.

Board Meetings

Section 5)   The Board of Trustees shall hold one or more meetings, between the Annual Meetings of the Association, at the time(s) and place(s) best suited to take care of the business.

Committee Meetings

Section 6)   Committees shall meet upon call of the Chair at a time and place best suited to conduct their business.  A report of any committee meeting called prior to the Annual Meeting shall be forwarded to the President within ten days of said meeting with a copy to the FACS Office.

Quorum

Section 7A)   A quorum is defined as greater than 25% of total Associations  Active  Members, as defined in Article III, Section 1A, who are registered prior to the start of the first business meeting of the annual meeting.

Section 7B)   A majority shall constitute a quorum on the Board of Trustees.

 

BY-LAW III

Voting

Section 1)   Each active member shall be entitled to one vote in all annual and special meetings if an authorized representative is present in person.  There shall be no voting by proxy.

Section 2)   In case of an emergency, the Board of Trustees may issue a ballot of proposed action to the membership for a mail referendum.  To be a valid election, at least 50% of the active membership must vote.  A three-fourths vote of ballots returned to the Office of the Association by a specific date shall decide the question.


 

BY-LAW IV

Dues

Section 1A)   The annual dues for a store members shall be recommended by the Board of Trustees and approved by the active membership at the Annual Meeting.  Any proposed dues changes must be submitted to the membership at least thirty (60) days before the Annual Meeting.

Section 1B)   The annual dues for associate members shall be recommended by the Board of Trustees and approved by the active membership at the Annual Meeting.  Any proposed dues changes must be submitted to the membership at least thirty (60) days before the Annual Meeting.

Section 1C)   The annual dues for individual members shall be determined by vote of the Board of Directors, and shall be submitted to and approved by the active membership at the Annual Meeting.

Section 1D)   Annual dues for affiliate members shall be determined by vote of the Board of Directors, and shall be submitted to and approved by the active membership at the Annual Meeting.

Section 2)   An application fee shall be charged to proposed new members and vendors at the time of application.  The amount shall be determined by the Board of Trustees.   If not accepted for membership, the application fee shall be refunded.

Section 3)   Dues payment is considered delinquent 30 days after the commencement of the Associations fiscal year.

 

BY-LAW V

Fiscal Year

Section 1)   The fiscal year of the Association shall be from January 1 through December 31, following.
 

 

BY-LAW VI

Contracts

Section 1)   All contracts of $5,000.00 or more including but not limited to those for the Annual Meeting shall be voted upon and approved by the Board of Trustees and signed by the following officers: President & Treasurer.

 
BY-LAW VII

 

Guidelines

Section 1)   Policies, Procedures and Guidelines are established by the Board of Trustees for the Board, standing committees and their Chairs.  These guidelines shall be reviewed annually by the Board of Trustees, and updated as needed.
 

 

BY-LAW VIII

Rules

Section 1)   Roberts Rules of Order shall govern all meetings of this Association.
